LEXEGA SOFTWARE LICENSE AGREEMENT
Version 2.0 — October 2026
Copyright (c) 2025-2026 Lexega LLC. All rights reserved.
This Agreement is between Lexega LLC ("Licensor") and the person or entity accepting it ("Customer", "you"). It governs the Lexega software and any license key issued for it. If you accept on behalf of an organization, you represent that you have authority to bind it.
You accept this Agreement by checking the acceptance box when requesting a license key, by activating a license key, or by using the Software. If you do not agree, do not use the Software.
Source files reference this Agreement as LicenseRef-Lexega-Proprietary.
1. DEFINITIONS
"Software" means the Lexega command-line tools, libraries, embedded dashboard, built-in rule corpus, schemas and related files that Licensor makes available, in binary or source form, including Updates.
"Documentation" means the user documentation Licensor publishes for the Software.
"Order Form" means a quote, order form, invoice or other written agreement between you and Licensor that identifies the Software you have licensed, the License Type, the Scope and the fees.
"License Key" means the signed key Licensor issues that enables the Software for a License Type, user or organization identifier, and term.
"License Type" means one of the editions Licensor offers (Free, Evaluation, Team or Enterprise). The features and Scope of each License Type are described in the Documentation and your Order Form.
"Scope" means the limits that apply to your License Type, such as the number of users, machines, repositories or environments, as stated in the Order Form or, absent an Order Form, in the Documentation for that License Type.
"Updates" means patches, fixes and new versions of the Software that Licensor makes available to you.
"Output" means the reports, findings, decision records, SARIF files, formatted SQL and other results the Software produces from your inputs.
"Third-Party Components" means software distributed with the Software under separate open-source or third-party licenses, listed in the file THIRD_PARTY_LICENSES.txt that accompanies each release.
2. LICENSE GRANTS
2.1 Free Tier. Licensor grants you a non-exclusive, non-transferable license to install and use the features of the Software that the Documentation identifies as free, without a License Key, for your internal business purposes, subject to this Agreement. Licensor may change which features are free in future versions; a change applies to versions released after it.
2.2 Commercial License. Subject to this Agreement and payment of the fees in your Order Form, Licensor grants you a non-exclusive, non-transferable license, within the Scope and for the term stated in your Order Form, to install and use the Software for your internal business purposes, including in your continuous-integration and deployment pipelines and on systems without network access. A license sold as perpetual continues until terminated under Section 10.
2.3 Evaluation License. If Licensor issues you an Evaluation License Key, Licensor grants you a non-exclusive, non-transferable license to install and use the Software for the evaluation period stated with the key (thirty days unless stated otherwise) to assess whether the Software meets your needs. You may run it against your own code, including in your pipelines. The Evaluation License ends automatically when the evaluation period expires or when Licensor terminates it, and Sections 7 and 8 apply to it in full.
2.4 Updates. Updates are licensed under this Agreement. Your entitlement to receive Updates is as stated in your Order Form; a subscription includes Updates released during its term.
2.5 Reservation. The Software is licensed, not sold. Licensor and its licensors retain all rights not expressly granted.
3. RESTRICTIONS
Except as expressly permitted in this Agreement, in your Order Form, or by a Third-Party Component's own license, you will not, and will not permit anyone else to:
- (a) copy, modify, translate or create derivative works of the Software;
- (b) distribute, sell, sublicense, rent, lease or lend the Software, or make it available to third parties as a service, including as part of a hosted, managed or consulting offering, without a separate written agreement with Licensor;
- (c) reverse engineer, decompile or disassemble the Software, except to the extent applicable law expressly permits this notwithstanding a contractual restriction;
- (d) bypass, disable or circumvent the License Key validation or any other technical limitation, or share a License Key beyond its Scope;
- (e) remove or alter any copyright, trademark or other proprietary notice;
- (f) use the Software, or information obtained from it, to build a product or service that competes with the Software; or
- (g) use the Software in violation of applicable law.
4. THIRD-PARTY COMPONENTS
The Software includes Third-Party Components. Each is governed by its own license, which is listed in THIRD_PARTY_LICENSES.txt. Nothing in this Agreement limits the rights those licenses grant you, and to the extent of any conflict, the applicable third-party license controls for that component.
5. OWNERSHIP; YOUR CONTENT; OUTPUT; FEEDBACK
5.1 Licensor owns the Software, the Documentation and all intellectual property rights in them.
5.2 You own your SQL, templates, configuration, policies, custom rules, catalog snapshots and other material you supply to the Software ("Your Content"). Licensor claims no rights in Your Content.
5.3 You own the Output. You may use, copy, store and disclose Output for any purpose, including providing it to auditors, regulators and third parties. Output may contain fragments of Your Content; it does not include the Software itself.
5.4 If you give Licensor suggestions, feedback or ideas about the Software, Licensor may use them without restriction or obligation to you, and you grant Licensor a perpetual, irrevocable, worldwide, royalty-free license to do so.
5.5 Lexega and the Lexega logo are trademarks of Licensor. This Agreement grants no rights in them.
6. DATA AND PRIVACY
6.1 No transmission to Licensor. The Software does not transmit Your Content, Output, usage data or telemetry to Licensor or to any service Licensor controls. License Key validation is performed locally using a cryptographic signature. Licensor will not introduce such transmission in an Update without your prior opt-in.
6.2 Connections you configure. The Software connects to third-party services only when you enable a feature that requires it, and only to the services you configure or whose credentials you supply: for example reading schema metadata from your data platform, posting a report to your code hosting provider, or reading from or writing to cloud storage you designate. Those connections carry only the data the feature needs, such as schema metadata, the grants you ask it to collect, or the report you chose to post. The drivers and command-line tools used to reach those services (for example your data platform's database driver or your cloud provider's CLI) may make ancillary connections to that provider, such as certificate validation or driver telemetry; those are governed by the provider's terms and are not received by Licensor. You are responsible for the destinations you configure and for any personal data they contain.
6.3 Licensor's website, online playground and license issuance service are separate services governed by the terms and privacy policy published at https://lexega.com. The information you provide when requesting a License Key (such as your email address and organization) is processed under that privacy policy to issue and administer the key.
7. DISCLAIMER OF WARRANTIES
THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS". LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. ANY WARRANTY LICENSOR GIVES IS STATED IN YOUR ORDER FORM.
THE SOFTWARE PROVIDES ANALYSIS AND RISK SIGNALS AS DECISION SUPPORT. ITS COVERAGE DEPENDS ON YOUR CONFIGURATION, RULES AND SQL. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT EVERY RISK, DEFECT OR POLICY VIOLATION, OR THAT CODE IT PASSES IS SAFE OR CORRECT. DECISIONS TO EXECUTE CODE, AND THE POLICIES YOU ENFORCE, REMAIN YOUR RESPONSIBILITY.
8. LIMITATION OF LIABILITY
8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY.
8.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT AND THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (US $100).
8.3 THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT YOUR PAYMENT OBLIGATIONS OR EITHER PARTY'S LIABILITY FOR BREACH OF SECTION 3, FOR INFRINGEMENT OR MISAPPROPRIATION OF THE OTHER PARTY'S INTELLECTUAL PROPERTY, OR FOR LIABILITY THAT CANNOT BE LIMITED BY LAW.
9. INDEMNIFICATION
You will defend and indemnify Licensor against third-party claims, and the resulting damages, costs and reasonable attorneys' fees, arising from Your Content or from your use of the Software in breach of this Agreement or of applicable law. Any indemnity Licensor provides to you is stated in your Order Form.
10. TERM AND TERMINATION
10.1 This Agreement begins when you accept it and continues for the term of your license. A subscription license ends when its term expires unless renewed. An Evaluation License ends as stated in Section 2.3. A perpetual license continues until terminated under this Section.
10.2 Licensor may terminate this Agreement, or any license under it, on written notice if you materially breach it and do not cure the breach within thirty days after notice, or immediately if the breach is of Section 3 and is incapable of cure. You may terminate at any time by ceasing all use and destroying all copies.
10.3 On termination or expiry you must stop using the Software and destroy all copies and License Keys in your possession. You keep the Output.
10.4 Sections 1, 2.5, 3, 4, 5, 7, 8, 9, 10.3, 10.4 and 11 to 13 survive termination.
11. VERIFICATION
On Licensor's written request, no more than once in any twelve-month period, you will confirm in writing that your use of the Software is within your Scope. If your use exceeds your Scope, you will promptly purchase the additional licenses required.
12. EXPORT; GOVERNMENT USE
12.1 The Software may be subject to export control and sanctions laws, including the U.S. Export Administration Regulations. You will not export, re-export or provide the Software to any destination, entity or person prohibited by those laws.
12.2 The Software is "commercial computer software" and "commercial computer software documentation" as those terms are used in the U.S. Federal Acquisition Regulation and its supplements. Government users acquire only the rights set out in this Agreement.
13. GENERAL
13.1 Governing Law; Venue. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of this Agreement, and each party consents to that jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
13.2 Assignment. You may not assign this Agreement or any license under it without Licensor's prior written consent, except to a successor to all or substantially all of your business that assumes this Agreement in writing. Licensor may assign this Agreement to an affiliate or to a successor to its business.
13.3 Order of Precedence. If an Order Form conflicts with this Agreement, the Order Form controls for that order. This Agreement, together with your Order Form and the Documentation, is the entire agreement about the Software and supersedes all earlier agreements and understandings about it. Terms in your purchase orders or vendor forms do not apply.
13.4 Changes. Licensor may publish revised versions of this Agreement. A revised version applies to License Keys issued after its effective date, and to existing licenses only on renewal, unless you agree to it earlier.
13.5 Notices. Notices to Licensor go to the addresses in Section 14. Notices to you go to the email address associated with your License Key.
13.6 Severability; Waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. A party's failure to enforce a provision is not a waiver.
13.7 Independent Contractors. The parties are independent contractors. Nothing here creates a partnership, agency or joint venture.
